Power Grid Components has acquired Vizimax, a leading supplier of electronic devices that reduce stress on critical electrical equipment and ensure stable and reliable power supply

Power Grid Components (“PGC”), a Blackstone portfolio company, today announced that it has acquired Vizimax Inc., a leading provider of innovative solutions to measure, control and switch high- and medium-voltage electric power systems. Vizimax’s cutting-edge controlled switching device is the market-leading solution for managing and optimizing inrush currents, thereby extending the useful life of critical electrical equipment, including power transformers and circuit breakers. Headquartered in Longueuil, Quebec, Vizimax is led by President Jean-Guy Lacombe and was previously owned by a group of investors led by BDC Capital and Yaletown Ventures.

Power Grid Components has acquired Allied Bolt, one of the leading global suppliers of outside plant hardware for the electrical utility and telecom industries.

Power Grid Components (“PGC”), a Blackstone portfolio company, today announced that it has acquired Allied Bolt Inc., one of the leading global suppliers of outside plant hardware for the electrical utility and telecommunications industries. Headquartered in Port Chester, NY, Allied Bolt was previously owned by Glen Malin, who has led the business as President since 2002 and will remain its President on a go-forward basis. The Malin family has run Allied Bolt since founding the company in 1955.

Blackstone Acquires Power Grid Components, Inc., a Leading Supplier of Critical Components for the Electrical Grid

New York, December 5, 2023 – Today, Blackstone (NYSE: BX) announced that private equity funds affiliated with Blackstone have closed the acquisition of Power Grid Components, Inc. (“PGC”) from Shorehill Capital LLC.

PGC is a leading domestic designer and manufacturer of a wide range of critical components for protection, monitoring, and safety applications in electrical substations, an essential segment of the electrical grid responsible for managing and monitoring power flows and converting electricity into different voltages. As a supplier of critical components to the grid and partner to many of the nation’s largest electrical utilities, PGC advances the global energy transition by improving the reliability, capacity, and safety of the grid, by enabling the deployment of new renewable generation, and by supporting broad electrification trends. Shorehill Capital LLC Sells Power Grid Components, Inc.

Shorehill Capital LLC ("Shorehill") announced today the sale of Power Grid Components, Inc. (“Power Grid” or the “Company”) to Blackstone Energy Transition Partners, a private equity fund affiliated with Blackstone (NYSE: BX) (“Blackstone”). Blackstone completed the acquisition on November 30, 2023 in partnership with Power Grid’s existing management team.

Power Grid serves electric utilities, original equipment manufacturers and other customers with mission-critical products used on the U.S. electric utility grid. The Company provides a suite of products across three major product segments—air-break switches, insulators, and instrument transformers. Shorehill and electric grid industry veteran Rick McClure formed Power Grid in 2017 to acquire companies that manufacture, and supply products used in the North American electric power grid. Over the ensuing six years Shorehill and Power Grid built a scalable platform with a strong growth profile. Power Grid completed five complementary add-on acquisitions, successfully integrating the acquired companies into one cohesive business, creating a platform with a strong management team, world class operations, institutionalized processes, and a well-defined organic growth strategy. Power Grid Components is pleased to welcome Tom MacDonald as our first Vice President, Sales, and Marketing, effective March 31st.

As the Vice President of Sales & Marketing, Tom MacDonald will be responsible for developing and executing the commercial and go-to-market strategy for Power Grid Components. Over the past 5 years, Power Grid Components has assembled several companies, including Newell, Royal Switchgear, Instrument Transformer Equipment Corporation, ITEC, and Meister International. Post-acquisition, we focused on strengthening each of the business’s teams and operations. These investments have produced consistent, reliable, and growing entities and a foundation for growth. We are now ready to pursue our next stage of growth. Tom will lead this effort.

Tom brings over 35 years of electric utility industry sales, marketing, and channel experience to Power Grid. His knowledge spans the complete electrical spectrum: Transmission and Distribution with MacLean Power, Underground with Thomas & Betts, EPC Business Development and Renewable Packaging with Irby Utilities, and Low Voltage with Eaton’s Bussmann division. He has an Electrical and Computer Engineering Degree as well as an MBA from Clarkson University. Tom also has a certificate from the Harvard Business Analytics Program. Tom’s experience and skills will help Power Grid Components leverage the company’s great foundation and data to even greater levels of growth.

Power Grid Components, Inc. announces the acquisition of Royal Switchgear Manufacturing Company, Inc.

Power Grid Components, Inc. (“Power Grid”) announced today that it completed the acquisition of Royal Switchgear Manufacturing Company, Inc. (“Royal”). The transaction closed in December 2019 and represents Power Grid’s fourth acquisition. Power Grid is a supplier of high-quality mission critical products used in the North American electric power grid. The Company was formed in 2017 by Shorehill Capital LLC (“Shorehill”) and Rick McClure, an electrical power grid industry veteran.

Royal manufactures substation and transmission group-operated disconnect switches, substation and distribution hookstick disconnects, and substation power connectors. Royal’s products are used to control, protect and isolate electric current in an electrical system. Royal adds to Power Grid’s existing suite of products that ensures the safety, reliability and efficiency in the broader electric grid.

“We are thrilled to have the Royal team join the Power Grid family. The Royal acquisition broadens the Power Grid product offering to include high voltage switchgear and power connectors. As importantly, we are excited to welcome a Royal team that is well-known for extensive product knowledge, highly responsive customer service and dependable delivery,” said Rick McClure, President and CEO of Power Grid.

Joe Carton, President of Royal, said, “The entire Royal team is excited to partner with the Power Grid management team and we look forward to providing our customers with a broader product line and the same first-class service they are accustomed to.” Upon completion of the acquisition, Mr. Carton became President of Royal and joined the Board of Directors of Power Grid.

Antares Capital LP, Maranon Capital LP and Fidus Investment Corporation provided financing to support the acquisition. Katten Muchin Rosenman LLP served as legal advisor to Power Grid. Terms of the transaction were not disclosed.
